Terms of Service

1. Introduction and Acceptance of Terms
These Terms of Service (the “Terms”) govern your access to and use of the services, websites, platforms, facilities, recordings, deliverables, and related offerings provided by Northlight Stream Studio (“Northlight Stream Studio,” “we,” “us,” or “our”).
By booking, accessing, purchasing, or using any service provided by Northlight Stream Studio, you agree to be bound by these Terms and all applicable laws and regulations of Canada and the province of Ontario. If you do not agree to these Terms, you must not use our services.
These Terms apply to all clients, guests, participants, speakers, performers, producers, and any other persons who engage with or appear in connection with our services.
2. Scope of Services
Northlight Stream Studio provides professional stream-studio services, which may include, without limitation:
- Live event streaming;
- Multi-camera studio production;
- Podcast recording and editing;
- Remote guest integration;
- Stream graphics and overlays;
- Audio mixing and voice enhancement;
- Post-production clipping for social media.
Service specifications, deliverables, timelines, technical requirements, and pricing may vary by project and will be confirmed in a proposal, booking confirmation, statement of work, invoice, or other written agreement. Any such written agreement forms part of the contractual arrangement between you and Northlight Stream Studio.
We may refuse, suspend, or terminate services where we reasonably determine that a project is unlawful, unsafe, technically infeasible, defamatory, abusive, or otherwise inconsistent with our policies or professional standards.
3. User Obligations and Responsibilities
You agree to provide accurate, complete, and timely information necessary for us to perform the services. You are responsible for ensuring that all content, materials, instructions, guest appearances, and event details you provide are lawful and do not infringe the rights of any third party.
You further agree that you will not use our services to:
- Transmit unlawful, misleading, harassing, hateful, defamatory, obscene, or infringing material;
- Violate privacy, publicity, copyright, trademark, or other intellectual property rights;
- Disrupt, damage, or interfere with our systems, equipment, staff, or third-party platforms;
- Upload malware, attempt unauthorized access, or engage in fraudulent activity;
- Record, stream, or distribute content without required consents or permissions.
You are solely responsible for obtaining all necessary permissions, releases, licenses, and consents from speakers, performers, guests, attendees, and any other individuals whose image, voice, likeness, or content may be captured, recorded, edited, or distributed in connection with the services.
You are also responsible for ensuring that your equipment, internet connection, venue, and third-party tools meet any technical requirements we communicate to you in advance.
4. Payment Terms and Conditions
Fees for services will be set out in a quote, proposal, booking confirmation, or invoice. Unless otherwise stated in writing, all fees are quoted in Canadian dollars (CAD).
- A deposit or advance payment may be required to confirm a booking.
- Payment is due by the date stated on the invoice or agreement.
- Late payments may result in suspension of services, delayed delivery, or cancellation of bookings.
- You are responsible for all applicable taxes, including GST/HST, where required by law.
- Any bank charges, chargeback fees, currency conversion costs, or payment processing fees imposed by third parties may be charged to you to the extent permitted by law.
If a project scope changes after booking, including changes to duration, staffing, equipment, editing requirements, or delivery deadlines, Northlight Stream Studio may issue revised pricing or additional charges, subject to your approval where required.
Unless otherwise agreed in writing, all invoices are payable without set-off, deduction, or withholding, except as required by applicable law.
5. Cancellation and Refund Policy
Cancellations must be made in writing and are effective only when acknowledged by Northlight Stream Studio.
- If you cancel a booking, any non-refundable deposit may be retained to cover scheduling, preparation, and administrative costs.
- Cancellation fees may apply based on the notice period provided and the resources already committed to the project.
- If cancellation occurs after work has begun, you may be charged for all completed work, reserved time, purchased materials, and non-recoverable expenses.
- Refunds, if any, will be issued only where required by law or expressly stated in a written agreement.
Because our services often involve reserved studio time, technical preparation, staffing, and live production, refunds are generally not available for completed services, missed sessions, client no-shows, or failures caused by client-side issues, including inadequate internet connectivity, missing materials, or late arrival.
If Northlight Stream Studio cancels a service for reasons within our control, we will use commercially reasonable efforts to reschedule the service or provide a refund for the unused portion of fees paid, as appropriate.
6. Liability Limitations
To the fullest extent permitted by applicable law, Northlight Stream Studio shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of data, business interruption, reputational harm, or loss of opportunity, arising out of or relating to the services or these Terms, even if advised of the possibility of such damages.
Without limiting the foregoing, Northlight Stream Studio is not responsible for:
- Internet outages, platform failures, software bugs, or third-party service interruptions;
- Audio, video, lighting, or technical issues caused by client equipment, venue conditions, or third-party systems;
- Content errors, omissions, or inaccuracies in materials supplied by you;
- Delays caused by incomplete instructions, late approvals, or failure to provide required access or materials;
- Losses resulting from unauthorized use, distribution, or modification of deliverables after delivery.
To the maximum extent permitted by law, the total aggregate liability of Northlight Stream Studio arising from or relating to any claim shall not exceed the amount paid by you to Northlight Stream Studio for the specific service giving rise to the claim during the three (3) months preceding the event giving rise to liability, or CAD $500, whichever is greater, except where liability cannot be limited under applicable law.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law, including liability for gross negligence, wilful misconduct, or fraud, to the extent such limitations are not permitted under Canadian law.
7. Intellectual Property Rights
Unless otherwise agreed in writing, all pre-existing intellectual property, including templates, workflows, software configurations, editing techniques, graphics systems, and production methods used by Northlight Stream Studio, remain our property or the property of our licensors.
Upon full payment of all applicable fees, and subject to these Terms and any separate written agreement, you will receive a non-exclusive, non-transferable license to use the final deliverables we provide for the purpose for which they were commissioned. This license does not transfer ownership of our underlying tools, methods, or pre-existing materials.
You represent and warrant that any content, logos, music, images, scripts, footage, or other materials you provide to us are owned by you or properly licensed for the intended use. You grant Northlight Stream Studio a limited license to use such materials solely to perform the services.
Unless otherwise agreed in writing, Northlight Stream Studio may retain copies of project files, recordings, and deliverables for archival, quality assurance, legal, and operational purposes, subject to applicable privacy laws.
We may, unless you object in writing before the project begins, display non-confidential excerpts, stills, clips, or descriptions of completed work in our portfolio, website, social media, or promotional materials, provided that such use does not disclose confidential information or violate applicable law.
8. Data Protection and Privacy
Northlight Stream Studio collects, uses, discloses, and stores personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA), and any applicable provincial privacy legislation.
We may collect personal information such as names, contact details, billing information, event details, voice and image recordings, and technical metadata as necessary to provide and administer our services.
We use personal information for purposes including:
- Providing, managing, and improving our services;
- Communicating with clients and participants;
- Processing payments and maintaining records;
- Ensuring security, quality control, and troubleshooting;
- Complying with legal, regulatory, and tax obligations.
We may share personal information with trusted service providers, contractors, payment processors, cloud storage providers, and platform operators only as necessary to deliver the services or as otherwise permitted by law.
You acknowledge that live streaming, recording, and remote guest integration may involve the capture, storage, transmission, and publication of personal information, including voice and likeness. You are responsible for obtaining any required consents from participants and for informing them of the nature of the recording or broadcast.
We take reasonable administrative, technical, and physical safeguards to protect personal information, but no method of transmission or storage is completely secure. To the extent permitted by law, Northlight Stream Studio is not liable for unauthorized access or disclosure caused by events beyond our reasonable control.
9. Force Majeure
Northlight Stream Studio shall not be liable for any delay, failure, or interruption in performance caused by events beyond our reasonable control, including but not limited to acts of God, fire, flood, severe weather, pandemic, epidemic, labour disputes, power outages, internet failures, equipment shortages, governmental actions, war, terrorism, civil unrest, or failures of third-party platforms or suppliers.
Where a force majeure event occurs, we may suspend performance, reschedule services, or cancel affected services without liability, except for obligations that have already accrued and cannot be avoided under applicable law. We will use reasonable efforts to mitigate the impact of such events and communicate with you as soon as practicable.
10. Changes to Terms
Northlight Stream Studio may update or modify these Terms from time to time to reflect changes in our services, business practices, or applicable law. The updated Terms will be posted or otherwise made available to you with a revised effective date.
Your continued use of our services after the effective date of any updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using our services and, where applicable, notify us in writing.
11. Applicable Law and Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or relating to them, the services, or any related agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
You agree that the courts located in Toronto, Ontario shall have exclusive jurisdiction over any dispute arising from or relating to these Terms or the services, subject to any mandatory consumer protection or other non-waivable rights under applicable law.

13. Severability Clause
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
If any invalid or unenforceable provision can be modified to make it valid and enforceable, the provision shall be interpreted and enforced to the maximum extent permitted by law in a manner that most closely reflects the original intent of the parties.
